TERMS OF SERVICE

A note before you begin
By using Graphient AI, you agree to these terms. If you’re using our services for an organization, you confirm you have authority to accept them on that organization’s behalf.
1. Introduction
These Terms govern your use of graphient.ai, related webpages, dashboards, applications, portals, products, workflows, and communications. They apply to website visitors, Customers, Vendors, Partners, and all other persons accessing the Services. By accessing or using the Services, creating an account, uploading documents, or otherwise interacting with the Platform, you agree to be bound by these Terms and our Privacy Policy.
2. Nature of the Services
Graphient is a technology provider. Customers remain solely responsible for their own financial, procurement, and compliance decisions.
3. Eligibility & Accounts
You may use the Services only if legally competent to contract, at least 18 if an individual, and duly authorised to bind your organisation. You are responsible for account accuracy, credential confidentiality, and activity under your account. Google Sign-In uses only your name and email for authentication, never advertising or profiling.
4. Terms for Users of the Platform
You must submit accurate, authorised data, use the Platform only for lawful business purposes, manage organisation access, and not misuse data or misrepresent your organisation. Platform outputs do not guarantee any outcome. Data is primarily stored in Mumbai, with limited AI sub-processing subject to the Privacy Policy.
5. Customer Data & License
You retain ownership of Customer Data. You grant Graphient a limited licence to host, store, process, and transmit it solely to provide and improve Services for that Customer. Broader analytics use relies on aggregated or de-identified data; Customer Data is never used to train third-party foundation models.
6. Prohibited Use
You must not use the Services unlawfully or deceptively; upload harmful code; access accounts or systems without authorisation; scrape, reverse-engineer, automate, impersonate, forge information, or circumvent restrictions.
7. Privacy & Data Protection
Use is subject to our Privacy Policy, the DPDP Act, and the Information Technology Act. Personal and Customer Data are retained for up to six months after engagement ends unless law or a written Commercial Agreement requires otherwise.
8. Fees & Payments
Some Services are free; others follow separate commercial terms. Fees are non-refundable, taxes including GST are additional, access may be suspended for non-payment after notice, and pricing may be revised prospectively with reasonable notice.
9. Confidentiality
Non-public information received through the Services must be kept confidential, used only for its authorised purpose, and not disclosed without written consent, except as required by law.
10. Intellectual Property
All rights in the Website, Platform, and Services belong to Graphient. You retain rights in Customer Data and Customer-specific outputs; Graphient retains rights in the Platform and generic learnings derived from aggregated or de-identified data.
11. Beta Features & Third-Party Integrations
Beta and pilot features are provided as is and may change or be discontinued. You are responsible for data pulled from your systems; Graphient is not liable for third-party downtime or data format issues.
12. Data Export & Deletion
On termination, you may export Customer Data in a standard machine-readable format within 30 days. Data is then deleted within six months, except where longer retention is legally required.
13. Disclaimers
Services are provided as is and as available. We do not guarantee uninterrupted operation, data accuracy, or any particular business or compliance outcome. You must independently verify information before relying on it.
14. Limitation of Liability
To the extent permitted by law, Graphient is not liable for indirect, incidental, or consequential damages. Where liability cannot be excluded, it is capped at fees paid in the six months preceding the claim, unless agreed otherwise in writing.
15. Indemnity
You agree to indemnify Graphient against claims arising from your breach of these Terms, misuse of the Services, violation of law or third-party rights, or submission of false or unlawful data.
16. Suspension & Termination
We may suspend or terminate access for breach, false information, legal or security risk, or as required by law. You may stop using the Services at any time. Payment, confidentiality, IP, disclaimers, and dispute resolution survive termination.
17. Compliance with Laws
You must comply with applicable law in using the Services, including the DPDP Act, GST and TDS regulations, the Companies Act, 2013, and the Income Tax Act, 1961.
18. Grievance Redressal
For complaints regarding the Services, contact our Grievance Officer at support@graphient.ai. We will acknowledge and address grievances in accordance with applicable law.
19. Governing Law & Dispute Resolution
These Terms are governed by Indian law with exclusive jurisdiction of Bengaluru courts. Disputes are first addressed through good-faith discussions, then arbitration in Bengaluru under the Arbitration and Conciliation Act, 1996.
20. General
We may update these Terms; continued use constitutes acceptance. These Terms, the Privacy Policy, and written agreements form the entire agreement. Unenforceable provisions are severable, rights may not be assigned without consent, and force majeure applies.
